About the Company

Petroleum Development Oman is the leading exploration and production company in the Sultanate of Oman. The Company delivers the majority of the country's crude oil production and natural gas supply.

Purpose of the Job

An excellent opportunity to work in a very dynamic and hands-on part of the PDO organization.  This role will work independently to provide comprehensive legal services on a wide spectrum of commercial legal matters that cover corporate issues, transactions with third parties, renewables, energy transition initiatives, human resources, land rights, upstream operations, social corporate responsibilities, ICV and Health, Safety and Environment (HSE)  , with a view to safeguard and enhance PDO’s legal position.  
The key focus of the role is on providing legal support to the People Directorate,  External Affairs and Value Creation Directorate, and the HSE function on a broad range of matters related to employee affairs, MOUs/MOCs with third parties, compliance with HSE rules and regulations, and transactions with other operators conducting activities within/near Blok 6 concession area.  In addition, this role will look after the PDO constitutional documents (Concession Agreement, Operating Agreement and Shareholders Agreement) and the legal interfaces with shareholders.  
The position also requires cooperating with the other members of the legal team to provide seamless, integrated legal services and advice to other parts of PDO. 
The position may develop over time to meet the requirements of PDO management and its shareholders given the global developments and changes in the energy sector impacting PDO’s operations . This role reports to the Commercial Legal Lead. 


 

Education & Experience

•    Bachelor’s degree in law required.
•    Minimum of 7 years (with a preference of 10 years) of post-qualification relevant legal experience gained in a commercial enterprise or in private legal practice, including a significant experience in oil & gas (upstream) operations. 
 

Main Responsibilities

•    Provide timely, cost effective, comprehensive, and high-quality legal services in support of: 
•    PDO’s compliance with labour law, regulations, and Employee Policy Manual.
•    Handling and management of court cases in collaboration with external law firms where the candidate is required to demonstrate ability to manage multiple/complex legal matters, cases or projects efficiently, on time and to an appropriate standard whilst developing case management strategies.
•    Participation in Employee Disciplinary Panels where the candidate is required to demonstrate ability to be influential and persuade team colleagues and partners to change views and attitudes and to propose appropriate solutions for senior management to assist them in making informed decisions.  .  
•    drafting, negotiation, and conclusion of contracts, MOUs/MOCs and other legal documents which PDO enters into with third parties; 
•    legal matters arising out of PDO’s interactions with the local communities. 
•    PDO’s compliance with HSE laws and regulations.  
•    Issues arising from interfaces between PDO’s operations and third parties conducting activities within/or within close proximity to Block 6 concession area. 
•    Queries on PDO’s rights and obligations related to land usage. 
•    research and advise on complex legal issues in Upstream Operations and make recommendations to management on appropriate solutions and actions;  
•    PDO constitutional documents (Concession Agreement, Operating Agreement and Shareholders Agreement) and the legal interfaces with shareholders (e.g., EDO, Shell); 
•    Anticipate emerging legal risks to which the business may be exposed as a result of changing regulatory, fiscal or business environments and contributes to the improvement and/or development of frameworks to manage legal risk.
•    Managing (multi-jurisdictional) external counsel on corporate structures and specific legal requirements in relation to activities undertaken above. 
•    Training and mentoring of junior colleagues in the legal team as well as the relevant client Directorates with a view to delivery of FLG’s ‘Good to Great’ transformation agenda. 
•    Ensure compliance by PDO in the conduct of its affairs with the laws of Oman and with generally accepted and applicable rules, regulations, and standards of the oil & gas industry. 
•    Form key member of multi-disciplinary teams and participate in DRB’s and relevant leadership team meetings for project related discussions.  
•    Proactively identifies opportunities for improvements in PDO standards, guidelines, procedures and contractual approach based on a wide understanding of clients need, relevant stakeholder’s requirements and external developments.
